Voting and non-voting shares

Companies issue bonus shares instead of dividends. Therefore, existing shareholders are entitled to receive only bonus shares. Organizations can also issue bonus shares to convert a portion of their retained earnings into shares.
Preferred Shares: Meaning and Type of Shares
Preferred shares provide special rights or incentives, especially with respect to the receipt of dividends and the repayment of capital when the organization is liquidated. Preferred stockholders also enjoy a fixed dividend guarantee that ordinary shareholders do not have. Therefore, investors looking for low-risk investment options can choose to buy preferred stock in the company.

2. Written consent:
Any person proposed as a candidate for a director must, if appointed, sign and submit to the company an agreement to act as a director (Article 264).

Disqualification of director:
The situations in which no one can be appointed to the board of directors of a company are listed in Section 274. According to this section, no person can be appointed to the board of directors of the company in the following cases:

(Ii) He is an unpaid bankrupt.
(Iii) He has filed for a bankruptcy ruling and the application is pending.
(Iv) He has been convicted of morally disruptive crimes and sentenced to more than six months in prison, less than five years after his sentence expired.
(V) He did not call for shares in the company he holds for six months from the last day the payment was confirmed.
(Vi) He was disqualified by a court order under paragraph 2. Crime related to promotion, formation or management of the company, or fraud or fraud related to the company 203.
