Company Law
A company is a legal entity formed by a group of individuals to interact in and operate a business—commercial or industrial—enterprise. A company could also be organized in various ways for tax and financial liability functions counting on the company law of its jurisdiction. TYPES OF COMPANIES

c) Unlimited Companies

COMPANIES ON THE BASIS OF MEMBERS
A) One Person Companies (OPC)
These types of companies have just one member as their sole shareholder. They’re separate from sole proprietorships because OPCs are legal entities awesome from their sole members. Unlike other companies, OPCs don’t have to have any minimum share capital.
b) Private Companies
Private companies are those whose articles of association restrict free transferability of shares. In terms of members, private groups got to have a minimum of two and a maximum of 200. These members encompass present and former employees who also hold shares.
c) Public Companies

COMPANIES IN TERMS OF ACCESS TO CAPITAL
When we believe the access, a company has got to capital; companies could also be either listed or unlisted.

OTHER TYPES OF COMPANIES
a) Government Companies

d) Dormant Companies
These companies are generally formed for future projects. They are doing not have significant accounting transactions and don't need to perform all compliances of normal companies.
e) Public Financial Institutions

SALIENT FEATURES OF THE ACT, 2013
Based on the above definitions, given below are the main features of company structure of ownership:

4. Corporate Social Responsibility: The Company Act 2013 stipulates certain class of Companies to spend a particular amount of cash per annum on activities/initiatives reflecting Corporate Social Responsibility.
5. National Company Law Tribunal: the companies Act 2013 introduced National Company Law Tribunal and therefore the National Company Law Appellate Tribunal to exchange the company Law Board and Board for Industrial and Financial Reconstruction. 9. Increase in number of Shareholders: the companies Act 2013 increased the number of maximum shareholders during a private company from 50 to 200.
10. Limit on Maximum Partners: the utmost number of persons/partners in any association/partnership could also be up to such number as could also be prescribed but not exceeding 100. This restriction won't apply to an association or partnership, constituted by professionals like lawyer, chartered accountants, company secretaries, etc. who are governed by their special laws. Under the companies Act 1956, there was a limit of maximum 20 persons/partners and there was no exemption granted to the professionals.
11. One Person Company: the companies Act 2013 provides new sort of private company, i.e., one Person Company. It's going to have just one director and one shareholder. The Companies Act 1956 requires minimum two shareholders and two directors just in case of a private company.

17. Duties of Director defined: Under the companies Act 1956, a director had fiduciary (legal or ethical relationship of trust) duties towards a corporation. However, the companies Act 2013 have defined the duties of a director.
18. Liability on Directors and Officers: the companies Act 2013 don’t restrict an Indian company from indemnifying (compensate for harm or loss) its directors and officers just like the Companies Act 1956.
19. Rotation of Auditors: the companies Act 2013 provides for rotation of auditors and audit firms just in case of publicly traded companies.

However, if the affairs of a company are under the control of individuals from an enemy country, then the corporate could be an enemy too. In such cases, the Court may examine the character of the humans who are at the helm of affairs of the company.
2] To guard Revenue or Tax
In matters concerning evasion or circumvention of taxes, duties, etc., the Court might disregard the corporate entity.
Imagine a company that’s wanted to evade tax. In such cases, piercing the corporate veil allows the Court to know the important owner of the income of the company and make the said person liable for legitimate taxes.
3] If trying to avoid a Legal Obligation

Imagine a company liable to share 20 percent of its profits with its employees as a bonus. This is often a legal obligation. To avoid this, the company opens an entirely owned subsidiary company and transfers its investment holdings thereto.
The new company formed has no assets of its own and no business income either. It’s completely dependent on the principal company.
By doing so, the principal company reduced the amount of bonus liable to be paid to its employees. The Courts, by piercing the corporate veil, can understand the important intention of the principal company and make sure that it fulfills its legal obligations.
4] Forming Subsidiaries to act as Agents
Sometimes, the idea of the formation of a corporation is to act as an agent or trustee of its members or of another company. In such cases, the corporate loses its individuality in favor of its principal. Also, the principal is responsible for the acts of such a company.
5] A company formed for fraud or improper conduct or to defeat the law
In cases where a company is made for a few illegal or improper purposes like defeating the law, the Courts might plan to lift or pierce the corporate veil.
ONE PERSON COMPANY
The Companies Act, 2013 completely revolutionized corporate laws in India by introducing several new concepts that didn't exist previously. Features of a One Person Company
Here are some general features of a one-person company:
- Private company: Section 3(1)(c) of the companies Act says that one person can form a company for any lawful purpose. It further describes OPCs as private companies.
- Single-member: OPCs can have just one member or shareholder, unlike other private companies.
- Nominee: a unique feature of OPCs that separates it from other forms of companies is that the only member of the company has to mention a nominee while registering the company.
- No perpetual succession: Since there's just one member in an OPC, his death will end in the nominee choosing or rejecting to become its sole member. This doesn't happen in other companies as they follow the concept of perpetual succession.
- Minimum one director: OPCs need to have minimum one person (the member) as director. They will have a maximum of 15 directors.
- No minimum paid-up share capital: Companies Act, 2013 has not prescribed any amount as minimum paid-up capital for OPCs
- Special privileges: OPCs enjoy several privileges and exemptions under the companies Act that other forms of companies don't possess.
Formation of one Person Companies
A single person can form an OPC by subscribing his name to the memorandum of association and fulfilling other requirements prescribed by the companies Act, 2013. Such memorandum must state details of a nominee who shall become the company’s sole member just in case the original member dies or becomes incapable of getting into contractual relations
This memorandum and therefore the nominee’s consent to his nomination should be filed to the Registrar of Companies alongside an application of registration. Such nominee can withdraw his name at any point in time by submission of requisite applications to the Registrar. His nomination also can later be canceled by the member.
Membership in One Person Companies
Only natural persons who are Indian citizens and residents are eligible to make a one-person company in India. The same condition applies to nominees of OPCs. Further, such a natural person can't be a member or nominee of quite one OPC at any point in time.
It is important to note that only natural persons can become members of OPCs. This doesn't happen within the case of companies wherein companies themselves can own shares and be members. Further, the law prohibits minors from being members or nominees of OPCs.
Conversion of OPCs into other Companies
Rules regulating the formation of one-person companies expressly restrict the conversion of OPCs into Section 8 companies, i.e. companies that have charitable objectives. OPCs also cannot voluntarily convert into other forms of companies until the expiry of two years from the date of them in company.
Privileges of one Person Companies
OPC enjoy the following privileges and exemptions under the companies Act:
- They do not need to hold annual general meetings.
- Their financial statements needn't include income statements.
- A company secretary isn't required to sign annual returns; directors also can do so.
- Provisions relating to independent directors don't apply to them.
- Their articles can provide for extra grounds for vacation of a director’s office.
- Several provisions concerning meetings and quorum don't apply to them.
- They can pay more remuneration to directors than compared to other companies.
DORMANT COMPANY:
What is Dormant Company?
Dormant Company may be a company which isn't carrying on any business or operation. As per Section 455 of the companies Act, 2013, where a company is made and registered under this Act for a future project or to carry an asset or intellectual property and has no significant accounting transaction, such a company or an inactive company may make an application to the Registrar of Companies for changing its status from active company to dormant company.
“Significant accounting transaction” means any transaction other than:-
- Payment of fees to the Registrar.
- Payments made by it to satisfy the regulatory requirements.
- Allotment of shares.
- Payments made for maintenance of office and records.
Prior Conditions for Dormant Status:-
The company shouldn't be carrying on any business or operation, or not made any significant accounting transaction during the last two financial years or has not filed financial statements and annual returns during the last two financial years.
In case there's any unsecured loan within the Company then consent of the lender should be obtained.
Statement of Assets and Liabilities should be obtained from Statutory Auditors of the company.
No dispute certificate should be obtained from the management or promoters of the company.
The Registrar on consideration of the appliance shall allow the status of a dormant company to the applicant and issue a certificate in such form as could also be prescribed thereto effect. The Registrar shall maintain a register of dormant companies in such form as could also be prescribed. Just in case of a company which has not filed financial statements or annual returns for two financial years consecutively, the Registrar shall issue a notice thereto company and enter the name of such company within the register maintained for dormant companies
Compliance maintained by Dormant Company
A dormant company will need to comply with certain compliance requirements, although these are very minimal. Listed below are the compliance requirements:
A dormant company should file ”Return of Dormant Company” per annum indicating the company financial position duly audited by chartered accountant in practice in Form MSC-3.
A dormant company is required to convene a minimum of one board meeting in every six months.
A dormant company also shall have such minimum number of directors, file such documents and pay such annual fee as could also be prescribed to the Registrar to retain its dormant status within the register and should become an active company on an application made during this behalf accompanied by such documents and fee as could also be prescribed. The Registrar shall strike off the name of a dormant company from the register of dormant companies, which has done not comply with the requirements for maintaining compliance.
Application for obtaining status of dormant company
For the needs of sub-section (1) of section 455, a company may make an application in Form MSC-1 alongside such fee as provided within the Companies (Registration Offices and Fees) Rules, 2014 to the Registrar for obtaining the status of a Dormant Company in accordance with the provisions of section 455 after passing a special resolution to this effect within the general meeting of the company or after issuing a notice to all or any the shareholders of the company for this purpose and obtaining consent of a minimum of 3/4th shareholders (in value):
Provided that a company shall be eligible to apply under this rule only, if-
(i) No inspection, inquiry or investigation has been ordered or taken up or carried out against the company;
(ii) No prosecution has been initiated and pending against the company under any law;
(iii) The company is neither having any public deposits which are outstanding neither is the company in default in payment thereof or interest thereon
(iv)The company isn't having any outstanding loan, whether secured or unsecured:
Provided that if there's any outstanding unsecured loan, the company may apply under this rule after obtaining concurrence of the lender and enclosing the same with Form MSC-1;
(v) There's no dispute within the management or ownership of the company and a certificate during this regard is enclosed with Form MSC-1;
(vi) the company doesn't have any outstanding statutory taxes, dues, duties etc. payable to the Central Government or any government or local authorities etc.;
(vii) The company has not defaulted within the payment of workmen’s dues;
(viii) The securities of the company aren't listed on any stock market within or outside India.
Understanding the concept of Dormant Company
The idea of a dormant company may be a newly introduced concept within the Companies Act 2013, previously absent within the 1956 Act. ASSOCIATE COMPANY
What is Associate Company?
Before we address the above question, allow us to analyze the definition of Associate Company given in Section 2(6) of Companies Act, 2013
“Associate company”, in reference to another company, means a company during which that other company has a significant influence, but which isn't a subsidiary company of the company having such influence and includes a joint venture company.
As per section 2(27) of Companies Act, 2013 the term control means and shall include:
“Control” shall include the proper to appoint majority of the directors or to regulate the management or policy decisions exercisable by an individual or persons acting individually or together, directly or indirectly, including by virtue of their shareholding or management rights or shareholders agreements or voting agreements or in the other manner.
After understanding the term control and reading the definition and explanation provided in Companies Act, 2013 it's going to be concluded that following conditions must be fulfilled by a company for becoming Associate Company of another Company:
The Company controls twenty percent of total share capital of another Company: If any company controls one-fifth of total share capital of another company by any mean, even if the company directly not holding shareholding in another company but having a control over twenty percent shareholding of another company are going to be an associate company for another company.
Example: allow us to assume 2 companies a private Limited & B Private Limited. Below are assumptive list of shareholders of both the companies.
By analyzing the above list of shareholders of both the companies, the questions arises that which company is an associate company for another company?
The answer is clearly a private Limited is an Associate Company for B Private Limited as B Private Limited is holding 21% Shares of a private Limited.
The Company has a joint venture with another company or both the companies are joint venture companies: International accounting principle 28 (IAS 28) defines a joint venture as “A joint venture may be a joint arrangement whereby the parties that have joint control of the arrangement have rights to the net assets of the arrangement.”
A joint arrangement is an arrangement of which two or more parties have joint control. Joint control is that the contractually agreed sharing of control of an arrangement, which exists only decisions about the relevant activities, requires the unanimous consent of the parties sharing control.
The company controls company decisions of another company under an agreement: when a company has control over company decisions of another company by an oral or written agreement in such a situation that company is an associate company for the company controlling company decisions of another company.
By definition, the term “Member” in reference to a company means, one who has agreed to become the member of the company by entering his name into the ‘Register of Members’. Everybody who has agreed in writing to become a part of the company and also holds shares of the company is considered the ‘Member of the Company’ and is claimed to carry membership in a company. The name of the member of the company is entered as ‘Beneficial owner in the record of depository’.
In order to accumulate the membership of the company, the subsequent two elements must be presented:
An Agreement to become a member
Entry of the name of the person so agreeing, in the Register of members of the company
The enlisted person should be in a capable of getting into a contract with the company. But a bearer of share warrant isn't a member of the company. Finally, to become the registered member of the company the person should be satisfactory as an asset to the corporate.

Member Shareholder
Meaning A person whose name is entered in the register of members of a company. An individual who owns the shares of the company.
Definition Companies Act, 2013 defines ‘Member’ under section 2(55) Shareholder isn't listed under the companies Act, 2013
Share warrantsthe holder of the share warrant isn't a member. The holder of the share warrant may be a Shareholder.
Company every company must have a minimum number of members. The company limited by shares can have shareholders
Memorandum A one that signs the memorandum of association with the company becomes a member. After signing the memorandum, an individual can become a shareholder as long as shares are allotted to him.
Modes of Acquiring Membership
Acquiring a membership in a company requires many processes and modes. The subsequent are the modes of acquiring membership in a company:
Subscribing to MOA
If an individual agrees to sign the memorandum and pledge his presence on the board of members, he becomes the member of the company.
Names of the people that have agreed to join the membership of the corporate should be entered in Register of Members.
Along with the agreement, if they’ve agreed to share the company’s shares, they become the Shareholders of the company.
Agreement in Writing
A person would become the member of the company if he ‘agrees in writing’ and gets his name entered within the register of members of the company.
A shareholder would also become a member of the company if he ‘agrees in writing’, and by the subsequent methods:

By Estoppels (Membership Without sufficient Cause)
Holding Shares
A person becomes a member of the company if his name is entered as a beneficial owner of the records of the depository and also holds equity share capital of the company. In such cases, the person needn’t apply ‘in writing’ to become a member of the company.
Removal of Membership
The term ‘Cessation’ means ‘Termination’ even as there’s a process to add a member of the corporate, there’s a process to terminate that member. Terminating a member of the company may result in removal from the ‘Register of Members’. The subsequent are the modes of removing a member of the company:
Transfer of Membership
Here, the shares of a member are transferred to another person by the corporate in the name of the transferee.
The name of the transferor is eliminated from the Register of Members.
After transferring all the shares from the person to a different person, the person is legally eliminated from the corporate.
Transmission of Membership
On the death of a shareholder/member of the corporate, his/her legal heir or representative becomes a member.
Surrender of Membership
A person is eliminated from the membership once he/she surrenders his shares, which needs ‘Acceptance on part of Board’.
Forfeiture of Membership
On account of Loss or selling of a share, the member is terminated from the corporate.
Share repurchase
The person is terminated from the company if the company buys back its shares.
Liabilities of Members
A ‘Liability’ is a state of being legally liable for something. This term is typically utilized in an organization to emphasize the responsibilities of a member of the company. The subsequent are the liabilities of the member of a company:
- To make shares if he/she is allotted as per the Act.
- To pay call money or pay the due number of shares.
- To abide by the decision of majority once they act ‘bonafide’.

MEANING
The Memorandum of Association or MOA of a company defines the constitution and the scope of powers of the company. In simple words, the MOA is that the foundation on which the company is made.
Object of registering a Memorandum of Association or MOA
The MOA of a company contains the thing that the company is made. It identifies the scope of its operations and determines the boundaries it cannot cross.
It is a public document consistent with Section 399 of the businesses Act, 2013. Hence, a person who enters into a contract with the company is expected to possess knowledge of the MOA.
It contains details about the powers and rights of the company.
Under no circumstance can the corporate depart from the provisions laid out in the memorandum. If it does so, then it might be ultra vires the corporate and void.
Format of Memorandum of Association (MOA)
According to Section 4 of the companies Act, 2013, companies must draw the MOA within the form given in Tables A-E in Schedule I of the Act. Here are the details of the forms:

Content of the MOA
The following information is mandatory in an MOA:
1. Name Clause
For a public Ltd. , the name of the company must have the word ‘Limited’ because the last word
For the private Ltd. , the name of the company must have the words ‘Private Limited’ because the last words.
This is not applicable to companies formed under Section 8 of the Act who must include one among the subsequent words, as applicable:
- Foundation
- Forum
- Association
- Federation
- Chambers
- Confederation
- Council
- Electoral Trust, etc.
- Registered Office Clause
It must specify the State during which the registered offices of the company are going to be situated.
2. Object Clause
It must specify the objects that the company is being incorporated. Further, if a corporation changes its activities which aren't reflected in its name, then it can change its name within six months of adjusting its activities. The company must suit all name-change provisions.
3. Liability Clause
- It should specify the liability of the members of the company, whether limited or unlimited. Also,
- For a company limited by shares – it should specify if the liability of its members is restricted to any unpaid amount on the shares that they hold.
- For a company limited by guarantee – it should specify the quantity undertaken by each member to contribute to:
- The assets of the company when it winds-up. This is often as long as he's a member of the company when it winds-up or the winding-up happens within one year of him ceasing to be a member. In the latter case, the debts and liabilities considered would be those contracted before he ceases to be a member.
- The costs, charges, and expenses of winding up and therefore the adjustment of the rights of the contributors among themselves.
4. Capital Clause
This is valid just for companies having share capital. These companies must specify the quantity of Authorized capital divided into shares of fixed amounts. Further, it must state the names of every member and therefore the number of shares against their names.
5. Association Clause
The MOA must clearly specify the will of the subscriber to make a company. This is often the last clause.
For One-Person-Company
The MOA must specify the name of the one that becomes a member of the company within the event of the death of the subscriber.
FORM OF MEMORANDUM OF ASSOCIATION
Keep in mind the subsequent aspects before submitting the MOA:

- Ensure that a minimum of seven people sign it (2 within the case of a personal Ltd. And one just in case of a 1 Person company).

ALTERATION OF MEMORANDUM
(1) Save as provided in section 61, a company may, by a special resolution and after complying with the procedure laid out in this section; alter the provisions of its memorandum.
(2) Any change within the name of a company shall be subject to the provisions of subsections (2) and (3) of section 4 and shall not have effect except with the approval of the Central Government in writing:
Provided that no such approval shall be necessary where the sole change within the name of the company is that the deletion there from, or addition thereto, of the word Private‖, consequent on the conversion of anybody class of companies to a different class in accordance with the provisions of this Act.
(3) When any change within the name of a company is formed under sub-section (2), the Registrar shall enter the new name within the register of companies in situ of the old name and issue a fresh certificate of incorporation with the new name and therefore the change within the name shall be complete and effective only on the difficulty of such a certificate.
(4) The alteration of the memorandum relating to the place of the registered office from one State to a different shall not have any effect unless it's approved by the Central Government on an application in such form and manner as could also be prescribed.
(5) The Central Government shall eliminate the appliance under sub-section (4) within a period of sixty days and before passing its order may satisfy itself that the alteration has the consent of the creditors, debenture-holders and other persons concerned with the company or that the sufficient provision has been made by the company either for the due discharge of all its debts and obligations or that adequate security has been provided for such discharge.
(6) Save as provided in section 64, a company shall, in reference to any alteration of its memorandum, file with the Registrar—
(a) The special resolution gone by the company under sub-section (1);
(b) The approval of the Central Government under sub-section (2), if the alteration involves any change within the name of the company.
(7) Where an alteration of the memorandum leads to the transfer of the registered office of a company from one State to a different , a licensed copy of the order of the Central Government approving the alteration shall be filed by the company with the Registrar of every of the States within such time and in such manner as could also be prescribed, who shall register an equivalent , and therefore the Registrar of the State where the registered office is being shifted to, shall issue a fresh certificate of incorporation indicating the alteration.
(8) a company, which has raised money from public through prospectus and still has any unutilized amount out of the cash so raised, shall not change its objects that it raised the cash through prospectus unless a special resolution is gone by the company and—
(i) the small print, as could also be prescribed, in respect of such resolution shall even be published within the newspapers (one in English and one in vernacular language) which is in circulation at the place where the registered office of the company is situated and shall even be placed on the web site of the company, if any, indicating there in the justification for such change;
(ii) The dissenting shareholders shall tend a chance to exit by the promoters and shareholders having control in accordance with regulations to be specified by the Securities and Exchange Board.
(9) The Registrar shall register any alteration of the memorandum with reference to the objects of the company and certify the registration within a period of thirty days from the date of filing of the special resolution in accordance with clause (a) of sub-section (6) of this section.
(10) No alteration made under this section shall have any effect until it's been registered in accordance with the provisions of this section 32
(11) Any alteration of the memorandum, within the case of a company limited by guarantee and not having a share capital, purporting to offer a person a right to participate within the divisible profits of the corporate otherwise than as a member, shall be void.
Every company needs a group of rules and regulations to manage its internal affairs. There are two important business documents of a company, namely, Memorandum of Association (MOA) and Articles of Association (AOA). The AOA specifies the internal regulations of the company. The AOA contains the bye-laws of the company. Therefore, the director and other members must perform their functions as regards the management of the company, its accounts, and audits in accordance with the AOA.
Content and Model of Articles of Association (AOA)
According to Section 5 of the companies Act, 2013, the AOA must have the subsequent components:
- Regulations
- The AOA must contain the regulations for the management of the company.
- Inclusion of matters
- The Articles must specify all matters, in accordance with the rules. Furthermore, a company can include additional matters deemed necessary for its management.
- Provisions for entrenchment
- Entrenchment means fortification or protection.
The AOA can contain provisions for entrenchment for specific provisions. The provisions for entrenchment can make sure that the required provisions are altered as long as certain conditions or procedures are met or complied with. These conditions are usually more restrictive than those applicable for a special resolution.
The inclusion of the provisions for entrenchment is possible:
On the formation of the company
By amending the Articles approvingly from all members of the corporate. Further, within the case of a public limited company, with a special resolution.
Regardless of whether the provisions for entrenchment are added on the formation or after an amendment, the company must provide a notice to the Registrar of an equivalent.
Forms of AOA
Schedule I of the companies Act, 2013 provides forms for AOA in tables F, G, H, I and J for various sorts of companies. Further, the articles must be within the respective form.

- A company can adopt all or any of the regulations lay out in the model articles.
- Company registered after the commencement of the Act
- If The registered articles of such a company don't exclude or modify the regulations contained within the model articles applicable to such company

ALTERATION OF ARTICLES OF ASSOCIATION
1) Subject to the provisions of this Act and the conditions contained in its memorandum, if any, a company may, by a special resolution, alter its articles including alterations having the effect of conversion of—
(a) a private company into a public company; or
(b) a public company into a private company:
Provided that where a company being a private company alters its articles in such a manner that they not include the restrictions and limitations which are required to be included within the articles of a private company under this Act, the company shall, as from the date of such alteration, cease to be a private company:
Provided further that any alteration having the effect of conversion of a public company into a personal company shall not be valid unless it's approved by an order of the Central Government on an application made in such form and manner as could also be prescribed:
Provided also that any application pending before the Tribunal, as on the date of commencement of the companies (Amendment) Ordinance,[2019], shall be disposed of by the Tribunal in accordance with the provisions applicable thereto before such commencement.
2) Every alteration of the articles under this section and a copy of the order of the [Central Governmentapproving the alteration as per sub-section (1) shall be filed with the Registrar, alongside a printed copy of the altered articles, within a period of fifteen days in such manner as could also be prescribed, who shall register the same.
3) Any alteration of the articles registered under sub-section (2) shall, subject to the provisions of this Act, be valid as if it were originally within the articles.
DOCTRINE OF INDOOR MANAGEMENT
Section 399 of the companies Act, 2013, specifies the rules and regulations governing the inspection, production, and evidence of documents with the Registrar. During this article, we'll check out the doctrine of constructive notice, the doctrine of indoor management, and exceptions to the indoor management rule.
Doctrine of Constructive Notice
Section 399 allows any person to electronically inspect, make a record, or get copy/extracts of any document of any company which the Registrar maintains. There’s a fee applicable for the same. The documents include the certificate of incorporation of the company.
By now we know that the Memorandum and Articles of Association are public documents. This section confers the proper of inspection to all or any
Before any person deals with a company, he must inspect its documents and establish conformity with the provisions. However, albeit an individual fails to read them, the law assumes that he's aware of the contents of the documents. Such an implied or presumed notice is called Constructive Notice.
In simpler words, if an individual enters into a contract which is beyond the powers of a corporation, then he has no right under the said contract against the company. The Memorandum of Association defines the powers of the corporate. Also, if the contract is beyond the authority of the administrators as defined within the Articles, the person has no rights.
The doctrine of indoor management is an exception to the earlier doctrine of constructive notice. It’s important to note that the doctrine of constructive notice doesn't allow outsiders to possess notice of the interior affairs of the company.
Hence, if an act is permitted by the Memorandum or Articles of Association, then the outsider can assume that each one detailed formality are observed in doing the act. This is often the Doctrine of Indoor Management or the Turquand Rule. This is often based on the landmark case between The Royal British Bank and Turquand. In simple words, the doctrine of indoor management means a company’s indoor affairs are the company’s problem.
Therefore, this rule of indoor management is vital to people handling a company through its directors or other persons. They will assume that the members of the company are performing their acts within the scope of their apparent authority. Hence, if an act which is valid under the Articles is completed during a particular manner, then the outsider handling the corporate can assume that the director/other officers have worked within their authority.
EXCEPTIONS TO THE DOCTRINE OF INDOOR MANAGEMENT
The Turquand rule or the law of indoor management isn't applicable to the subsequent cases:
The outsider has actual or constructive knowledge of an irregularity
In such cases, the rule of indoor management doesn't offer protection to the outsider handling the said company.
The outsider behaves negligently
The rule of Indoor management doesn't protect an individual handling a company if he doesn't initiate an inquiry despite suspecting an irregularity. Further, this rule doesn't offer protection if the circumstances surrounding the contract are suspicious. For example, the outsider should get suspicious if an officer purports to act during a manner outside the scope of his authority.
Forgery
The doctrine of indoor management is applicable to irregularities that affect a transaction apart from forgery. Just in case of a forgery, the transaction is deemed null and void.
The 2013 Act has introduced a new section [section 23] to explicitly provide the ways during which a public company or private company may issue securities. This section explains that a public company may issue securities in any of the following manners:
• To public through prospectus. ▫
• Through private placement
• Through rights offering or a bonus issue.
For private companies, this section provides that it's going to issue securities through private placement, by way of rights offering or bonus issue.
Section 23 also provides that compliance with provisions of part I of chapter III is required for the difficulty of securities to public through prospectus. For private placement compliance, with the provisions of part II of chapter III are required.
The 2013 Act also introduces certain changes with reference to prospectus and public offers aimed toward enhancing disclosure requirements also as streamlining the method of issuance of securities.
1. Issue of Prospectus:
Currently, the matters and therefore the reports to be included within the prospectus are laid out in the parts I & II of the Schedule of the 1956 Act. Within the 2013 Act, the matters are included within the section 26 of the act. The act mandates certain additional disclosures:
• Any litigation or action pending or taken by a department or a statutory body during the last five years immediately preceding the year of the difficulty of prospectus against the promoter of the company.
• Sources of Promoter’s Contribution.
The 2013 Act has also relaxed the disclosure requirements in some areas. Examples of certain which aren't included within the 2013 Act are as follows. Particulars regarding the company and other listed companies under an equivalent management, which made any capital issues during the last 3 years. - Export possibilities and export obligations. - Details regarding collaboration.
The 2013 act states that report by the auditors on the assets & liabilities of business shall not be before 180 days before the difficulty of the prospectus.[section 26 (1) (b) (iii) of 2013 Act ].
The 1956 currently requires that report won't be 120 days before the difficulty of the prospectus.
2. Variation in terms of contracts and obligation:
The 2013 Act requires Special resolution to be passed to vary the terms of the contract and obligations mentioned within the prospectus or objects that the prospectus was issued. [Section 27 (1) of 2013 Act].
The 1956 Act requires the approval within the general meeting by way of a standard resolution.
The 2013 Act also requires the dissenting shareholders to tend exit offer by promoters or controlling shareholders.
3. Offer of sale of shares by certain members of the company:
The Act 2013 includes a new section under which members of a company, in consultation with the BOD, may offer a part of their holdings to the general public.
The document by which the offer purchasable shall be made to the public shall be considered because the prospectus. The members shall reimburse all the expenses to the company incurred by it.
4. Shelf Prospectus:
The 2013 Act has extended the facility of the shelf prospectus by enabling SEBI to prescribe the classes of companies which will file a shelf prospectus. The Act 1956 currently limits the power of shelf prospectus to the public financial institutions, public sector banks or scheduled banks. [Section 31 (1) of 2013 Act]
5. GDRs:
The 2013 Act includes a new section to enable the difficulty of depository receipts in any foreign country subject to the prescribed conditions [section 41 of 2013 Act].
Currently the supply of section 81 of the 1956 Act concerning the further issue of shares are getting used in conjunction with requirements mandated by SEBI for the issuance of depository receipts.
In several aspects across the 2013 Act, it appears that the 2013 act supplements the powers of SEBI by incorporating requirements already mandated by the SEBI.
6. Private Placement:
The 2013 Act requires that certain specified conditions are complied with so as to form a suggestion or invitation of offer by way of personal placement or through the difficulty of a prospectus.
The offer of securities or invitation to subscribe securities during a fiscal year shall be made to such number of persons not exceeding 50 or such higher number as could also be prescribed {excluding qualified institutional buyers, and employees of the company being offered securities under a scheme of employees option during a fiscal year and on such conditions (including the shape and manner of private placement) as could also be prescribed}. This provision of the 2013 Act is in line with the prevailing provision of the 1956 Act.
The allotments with reference to any earlier offer or invitation may are completed.
All the money payable towards the subscription of securities shall be paid through cheque, demand draft or the other banking channels but not by cash.
The offers shall be made only to such persons whose names are recorded by the company before the invitation to subscribe, which such persons shall receive the offer by name. • the company offering securities shall not release any advertisements or utilize any media, marketing or distribution channels or agents to tell the general public at large about such an offer [section 42 of 2013 Act].
Contents in prospectus
(1) Every prospectus issued by or on behalf of a public company either with regard to its formation or subsequently, or by or on behalf of any person who is or has been engaged or interested in the formation of a public company, shall be dated and signed and shall—
(a) State the following information, namely:—
(i) Names and addresses of the registered office of the company, company secretary, Chief financial officer, auditors, legal advisers, bankers, trustees, if any, underwriters and such other persons as could also be prescribed;
(ii) Dates of the opening and shutting of the issue, and declaration about the issue of allotment letters and refunds within the prescribed time;
(iii) A press release by the Board of Directors about the separate checking account where all monies received out of the issue are to be transferred and disclosure of details of all monies including utilized and unutilized monies out of the previous issue within the prescribed manner;
(iv) Details about underwriting of the issue;
(v) Consent of the administrators, auditors, bankers to the issue, expert‘s opinion, if any, and of such other persons, as could also be prescribed;
(vi)The authority for the issue and therefore the details of the resolution passed therefore;
(vii) Procedure and time schedule for allotment and issue of securities;
(viii) Capital structure of the company within the prescribed manner;
(ix) Main objects of public offer, terms of this issue and such other particulars as could also be prescribed;
(x) Main objects and present business of the company and its location, schedule of implementation of the project;
(xi) Particulars relating to—
(A) Management perception of risk factors specific to the project;
(B) Gestation period of the project;
(C) Extent of progress made within the project;
(D) Deadlines for completion of the project; and
(E) Any litigation or action pending or taken by a government department or a statutory body during the last five years immediately preceding the year of the issue of prospectus against the promoter of the company;
(xii) Minimum subscription, amount payable by way of premium, issue of shares otherwise than on cash;
(xiii) Details of directors including their appointments and remuneration, and such particulars of the character and extent of their interests within the company as may be prescribed;
(xiv) Disclosures in such manner as could also be prescribed about sources of promoter‘s contribution;
(b) Set out the following reports for the needs of the financial information, namely:—
(i) Reports by the auditors of the company with reference to its profits and losses and assets and liabilities and such other matters as could also be prescribed;
(ii) Reports relating to profits and losses for every of the five financial years immediately preceding the fiscal year of the issue of prospectus including such reports of its subsidiaries and in such manner as could also be prescribed:
Provided that just in case of a company with reference to which a period of 5 years has not elapsed from the date of incorporation, the prospectus shall begin in such manner as could also be prescribed, the reports concerning profits and losses for every of the fiscal year’s immediately preceding the financial year of the issue of prospectus including such reports of its subsidiaries;
(iii) Reports made within the prescribed manner by the auditors upon the profits and losses of the business of the company for every of the five financial years immediately preceding issue and assets and liabilities of its business on the last date to which the accounts of the business were made up, being a date less than 100 and eighty days before the difficulty of the prospectus:
Provided that just in case of a company with reference to which a period of 5 years has not elapsed from the date of incorporation, the prospectus shall began within the prescribed manner, the reports made by the auditors upon the profits and losses of the business of the company for all financial years from the date of its incorporation, and assets and liabilities of its business on the last date before the issue of prospectus; and
(iv) reports about the business or transaction to which the proceeds of the securities are to be applied directly or indirectly;
(c) make a declaration about the compliance of the provisions of this Act and a statement to the effect that nothing within the prospectus is contrary to the provisions of this Act, the Securities Contracts (Regulation) Act, 1956 (42 of 1956) and therefore the Securities and Exchange Board of India Act, 1992 (15 of 1992) and therefore the rules and regulations made there under; and
(d) State such other matters and began such other reports, as could also be prescribed.
(2) Nothing in sub-section (1) shall apply—
(a) to the issue to existing members or debenture-holders of a company, of a prospectus or sort of application concerning shares in or debentures of the company, whether an applicant features a right to renounce the shares or not under sub-clause (ii) of clause (a) of sub-section (1) of section 62 in favor of the other person; or
(b) To the difficulty of a prospectus or sort of application relating to shares or debentures which are, or are to be, altogether respects uniform with shares or debentures previously issued and for the nonce dealt in or quoted on a recognized stock exchange.
(3) Subject to sub-section (2), the provisions of sub-section (1) shall apply to a prospectus or a sort of application, whether issued on or with regard to the formation of a company or subsequently.
Explanation.—the date indicated within the prospectus shall be deemed to be the date of its publication.
(4) No prospectus shall be issued by or on behalf of a company or in relation to an intended company unless on or before the date of its publication, there has been delivered to the Registrar for registration, a replica thereof signed by everyone who is known as therein as a director or proposed director of the company or by his duly authorized attorney.
(5) A prospectus issued under sub-section (1) shall not include a statement purporting to be made by an expert unless the expert may be a one that isn't , and has not been, engaged or curious about the formation or promotion or management, of the company and has given his written consent to the difficulty of the prospectus and has not withdrawn such consent before the delivery of a replica of the prospectus to the Registrar for registration and a press release thereto effect shall be included within the prospectus.
(6) Every prospectus issued under sub-section (1) shall, on the face of it,—
(a) State that a replica has been delivered for registration to the Registrar as needed under subsection
(b) Specify any documents required by this section to be attached to the copy so delivered or ask statements included within the prospectus which specify these documents.
(7) The Registrar shall not register a prospectus unless the wants of this section with reference to its registration are complied with and therefore the prospectus is amid the consent in writing of all the persons named within the prospectus.
(8) No prospectus shall be valid if it's issued quite ninety days after the date on which a replica thereof is delivered to the Registrar under sub-section (4).
(9) If a prospectus is issued in contravention of the provisions of this section, the company shall be punishable with fine which shall not be but fifty thousand rupees but which can reach three lakh rupees and each one that is knowingly a party to the issue of such prospectus shall be punishable with imprisonment for a term which can reach three years or with fine which shall not be but fifty thousand rupees but which can reach three lakh rupees, or with both.
ABRIDGED PROSPECTUS
The following shall be applicable with reference to the abridged prospectus annexed to the application form:
(a) The abridged prospectus shall be printed in A4 size sheets. The information shall be provided under the abridged prospectus as given at Annexure-C hereto.
(b) The Abridged Prospectus shall be printed:
• In Times New Roman font,
• In a font size of not less than 10,
• With a line spacing not less than 1.00 lines
• And normal character spacing with 100% scale and no condensation.
(c) A larger font size could also be used, if required, for various heads of data. All major heads shall be in uppercase and bold and in boxes. The primary level subheads shall be in bold and in boxes. The other levels of sub-heads shall be bold and underlined.
(d) The numbering shall be either continuous or with different types of numbering for various heads/ sub-heads.
(e) The appliance form shall be so positioned that on the tearing-off of the application form, not a part of the information given within the abridged prospectus is mutilated.
(f) The order of the contents within the abridged prospectus shall not be changed.
(g) Tabular formats and pointers could also be used wherever possible for efficient understanding. Instructions for filling up the shape , payment instructions and risk factors shall be in pointers and each pointer shall be during a new line.
(h) The top of each page within the abridged prospectus shall have a colored strap in bold letters incorporating the statement
In the nature of form 2a – memorandum containing salient features of the prospectus“
(i) Under the sections ‘any other information’, any information which is vital for the investor but has not been included within the other heads could also be included.
(j) Risk factors shall be so as long as they convey the risks related to the issue briefly.
(k) A reference could also be made to the prospectus wherever necessary.
The issuer and every one the concerned intermediaries are directed to suits the instructions contained during this circular effective from 30 days to the date of this circular.
This circular is issued in exercise of powers conferred under Section 11(1) and section 11A of the Securities and Exchange Board of India Act, 1992 read with Regulation 31(1) of SEBI (Issue and Listing of Debt Securities) Regulations, 2008.

STATUTORY REQUIREMENTS IN relation to PROSPECTUS – DEEMED PROSPECTUS
(1) Where accompany allots or agrees to all or any of any securities of the corporate with a view to all or any of these securities being offered for sale to the public, any document by which the offer for sale to the public is formed shall, for all purposes, be deemed to be a prospectus issued by the company; and every one enactments and rules of law on the contents of prospectus and on liability in respect of mis-statements, in an omissions from, prospectus, or otherwise relating to prospectus, shall apply with the modifications laid out in subsections (3) and (4) and shall have effect accordingly, as if the securities had been offered to the public for subscription and as if persons accepting the offer in respect of any securities were subscribers for those securities, but without prejudice to the liability, if any, of the persons by whom the offer is formed in respect of mis-statements contained within the document or otherwise in respect thereof.
(2) For the needs of this Act, it shall, unless the contrary is proved, be evidence that an allotment of, or an agreement to allot, securities was made with a view to the securities being offered for sale to the public if it's shown—
(a) That an offer of the securities or of any of them for sale to the public was made within six months after the allotment or agreement to allot; or
(b) That at the date when the offer was made, the entire consideration to be received by the company in respect of the securities had not been received by it.
(3) Section 26 as applied by this section shall have effect as if —
(i) It required a prospectus to state additionally to the matters required by that section to be stated during a prospectus—
(a) The net amount of the consideration received or to be received by the company in respect of the securities to which the offer relates; and
(b) The time and place at which the contract where under the said securities are or are to be allotted could also be inspected;
(ii) The persons making the offer were persons named during a prospectus as directors of a company.
(4) Where an individual making an offer to which this section relates may be a company or a firm, it shall be sufficient if the document mentioned in sub-section (1) is signed on behalf of the company or firm by two directors of the company or by not but one-half of the partners within the firm, because the case could also be.
STATUTORY REQUIREMENTS IN RELATION TO PROSPECTUS – SHELF PROSPECTUS
(1) Any class or classes of companies, as the Securities and Exchange Board may provide by regulations during this behalf, may file a shelf prospectus with the Registrar at the stage of the primary offer of securities included therein which shall indicate a period not exceeding one year because the period of validity of such prospectus which shall commence from the date of opening of the primary offer of securities there under prospectus, and in respect of a second or subsequent offer of such securities issued during the amount of validity of that prospectus, no further prospectus is required.
(2) a company filing a shelf prospectus shall be required to file an information memorandum containing all material facts concerning new charges created, changes within the financial position of the company as have occurred between the primary offer of securities or the previous offer of securities and therefore the succeeding offer of securities and such other changes as could also be prescribed, with the Registrar within the prescribed time, before the difficulty of a second or subsequent offer of securities under the shelf prospectus:
Provided that where a company or any other person has received applications for the allotment of securities alongside advance payments of subscription before the making of any such change, the company or other person shall intimate the changes to such applicants and if they express a desire to withdraw their application, the company or other person shall refund all the monies received as subscription within fifteen days thereof.
(3) Where an information memorandum is filed, whenever an offer of securities is formed under subsection (2), such memorandum alongside the shelf prospectus shall be deemed to be a prospectus.
Explanation.—for the needs of this section, the expression "shelf prospectus" means a prospectus in respect of which the securities or class of securities included therein are issued for subscription in one or more issues over a particular period without the difficulty of an extra prospectus.
STATEMENT IN LIEU OF PROSPECTUS
The statement in lieu of prospectus may be a document issued by the company when it doesn't offer its securities for public subscription. The Statement in Lieu of Prospectus may be a document filed with the Registrar of the companies (ROC) when the company has not issued prospectus to the general public for inviting them to subscribe for shares. Its objective is to be filed with the registrar if the company doesn't issue prospectus.
It is mandatory for the public limited company to distribute the Prospectus but its not compulsory altogether aspects. It’s also possible to adopt an alternate to the prospectus. It’s not necessary to distribute prospectus for the corporate if the directors are ready to raise the specified funds by selling the shares and debentures to their friends and relatives. If the company used the choice of the prospectus, it'll be necessary to submit that replicate to the registrar. It's called substitute prospectus or substitute circular. This substitute holds all the things that are being required within the original prospectus and it must be signed or attested by the directors.
A statement in lieu of prospectus contains the subsequent information
• Name of company
• Account of capital
• Explanation of the business
• Names, addresses, and occupations of directors
• Probable preliminary expenses
• Names of vendors and information of property
• Substance contracts
• Director’s interests
• Least subscription
LIABILITIES FOR MIS-STATEMENT
A prospectus is issued either by or on behalf of a public company on its formation or subsequently or on behalf of a person engaged in formation of a public company.
For the aim of monetary information following reports are issued alongside prospectus:
1. Reports by auditors of the company regarding its assets and liabilities and profit and losses.
2. Reports regarding profit and losses for five preceding financial years including report of subsidiaries in such manner as could also be prescribed.
3. Reports about the securities or transaction to which proceeds of securities are to be applied directly or indirectly.
Considering the reporting liabilities of auditor, the companies Act, 2013 has also taken appropriate steps for safeguarding the mechanism by including criminal and civil liabilities.
THE SECTION FOR CRIMINAL LIABILITIES READ AS FOLLOWS
“Where a prospectus, issued, circulated or distributed under this Chapter, includes any statement which is untrue or misleading in form or context during which it's included or where any inclusion or omission of any matter is probably going to mislead, everyone who authorizes the issue of such prospectus shall be liable under section 447.
Provided that nothing during this section shall apply to a person if he proves that such statement or omission was immaterial or that he had reasonable grounds to believe, and did up to the time of issue of the prospectus believe, that the statement was true or the inclusion or omission was necessary. “
Section 447 is stringent in its way. The section provides for the punishment for fraud.
This hereby implies that any misstatement in prospectus will cause fraud and can attract section 447.
Section 447 states that without giving effect to any liability under the other law for the nonce in force any person who is guilty of fraud shall be punishable with imprisonment for a term not but six months but which can reach 10 years and shall be liable to fine not but the amount involved in fraud but may reach 3 times the fraud amount.
However, if the fraud involves public interest the term of imprisonment shall not be but 3 years.
THE SECTION FOR CIVIL LIABILITIES READ AS FOLLOWS
“Notwithstanding anything contained during this section, where it's proved that a prospectus has been issued with intent to defraud the applicants for the securities of a company or the other person or for any fraudulent purpose, every one mentioned in subsection (1) shall be personally responsible, with none limitation of liability, for all or any of the losses or damages which will are incurred by a person who subscribed to the securities on the idea of such prospectus”
In accordance with the above section the civil liabilities are going to be imposed on director of the company, issuer of prospectus, promoter of the company, one that has authorized issue of prospectus, expert mentioned in section 26.
Such above person shall personally liable with none limitation or extent and shall be liable to observe the damage or loss caused to the persons who has subscribed such securities on the idea of such prospectus.
MEANING
The board of directors is that the supreme authority during a company and that they have the powers to require all major actions and decisions for the company. The board is also liable for managing the affairs of the entire company.
For the effective functioning and management, it's imperative that board meetings be held at frequent intervals. For this, Section 173 of Companies Act, 2013 provides –
In the case of a Public limited company, the first board meeting has got to be held within the first 30 days, since the incorporation date. Additionally, a minimum of 4 board meetings must be held during a span of 1 year. Also, there can't be a niche of quite 120 days between two meetings.
In the case of small companies or one Person Company, a minimum of two meetings must be conducted, one in each half the financial year. Additionally, the gap between the 2 meetings must be a minimum of 90 days. During a situation where the meeting is held at a brief notice, a minimum of one independent director must be attending the meeting.
KINDS OF MEETINGS
1. Member’s Meeting:
This meeting is merely for the members of the company. Members and also directors discuss on the matters related to company.
Following are the types of member’s meeting:
A. Statutory Meeting.
B. Annual General Meeting.
C. Extra Ordinary General Meeting.
A. Statutory Meeting:
Statutory meeting is that the first meeting which company conducts after its commencement. Conduction of statutory meeting is compulsory. Public Ltd. Is required to carry such meeting within a period not but one month and less than six months from the date of commencement. The directors of company also got to make statutory report. Every member also must be given a copy of report a minimum of 21 days before the date of the meeting and a replica is also to be sent to the Registrar for registration.
Section 165(3) provides that the Statutory Report must contain the following particulars:
(i) The total number of fully paid-up and partly paid-up shares allotted;
(ii) The total amount of cash received;
(iii) The receipts, classifying them and also the expenses incurred for commission, also brokerage etc.
(iv) The names, addresses and also occupations of directors, auditors, managers and secretaries and also changes of the names, address etc.
(v) Particulars of contracts with proposed modifications presented at meeting for approval;
(vi) The arrears of calls;
(vii) Commissions and brokerages paid to directors and managers.
Every director or any other officer of the company who is in default shall be punishable with a fine which can reach Rs. 500.
B. Annual General Meeting (AGM)
Under Section 96 of the companies act, every company shall hold a general meeting as annual general meeting per annum except one-person company. There shouldn't be a gap of quite fifteen months between two AGM.
Notices of AGM are often either in writing or also in electronic form. The member should get the notice a minimum of for 21 clear days. . The notice should consist of place, day, date and therefore the proper hour of the meeting. It should also contain agenda of meeting. Every member of the company, legal representative of deceased and assignee of insolvent member, auditor and each director of the company should get notice. Section 101 of the Companies act 2013, deals with the provision of Notice for the AGM.
C. Extra ordinary meeting (EGM)
Every meeting which isn't an AGM or statutory meeting is EGM. An EGM is held for a few special businesses which may not be transacted at AGM. It’s also held to transact some urgent business. This meeting could also be called by the directors or by the member’s according to Sec.169 of the companies Act, 1956.
• Meeting of Creditors: Meeting is when directors of company have any scheme for creditors. The Court may order a meeting of the creditors on the appliance of the company or of liquidator just in case of a company being wound-up.
• Meeting of Debenture Holders: Such meetings are held within the interest of debenture holder. The principles for appointment of Chairman, notice of the meeting, quorum etc. are there within the trust deed.
• Meeting of Creditors and Contributories: the most purpose is obtaining consent of creditors and contributories to the scheme of rearrangement or compromise. It's to save the company from financial difficulties. Sometimes, the Court can also order to conduct meeting. The term “contributory” covers everyone who is liable to contribute to the assets of the company when the company is being wound-up.
Meeting of the Board of Directors:
The Board of Directors controls the management of the company. Therefore, the directors are to meet frequently to decide both policy and also other related matters. It's conducted four times in a year.
Requirements for Conducting a Valid board meeting
Right Convening Authority
The board meeting must be held under the direction of proper authority. Usually, the company secretary (CS) is there to authorize the board meeting. Just in case the corporate secretary is unavailable, the predetermined authorized person shall act as the authority to conduct the board meeting.
Adequate Quorum
The proper requirements of the quorum or the minimum number of Directors required to conduct a board meeting must be present for it to be considered a valid board meeting.
Proper Notice
Proper notice is one among the main requirements to be fulfilled when planning a board meeting. Formal notice has got to be served to all or any members before conducting a board meeting.
Proper leader
The meeting should be conducted within the presence of a md of the board.
Proper Agenda
Every board meeting features a set agenda that has got to be followed. The agenda refers to the topic of discussion of the board meeting. No other business, which isn't mentioned in the meeting, must be considered.

Creating an Agenda
1. State the aim of the meeting
2. Organize items to be discussed so as of their importance, state with the top priority
3. Describe each item to be discussed and explain why it must be addresses
4. Set time limits prior to discussion
Objectives of Agenda •To bring in to the notice of all the members in advance that, what matters are going to be discussed at the time •It enables the members to prepare their strategy in advance regarding the problems which will be discussed at the meeting •It helps to get rid of the confusion among the minds of members if any regarding the aim of the meeting •To prevent many questions being put to the chairman, which are usually raised by members having insufficient information •To bring discipline among members while within the meeting
Notice of board meetings
1 The act requires that not but seven days’ notice in writing shall tend to each director at the registered address as available with the company. The notice is often given by hand delivery or by post or by electronic means.
2. In case the board meeting is named at shorter notice, a minimum of one independent director shall be present at the meeting. If he's not present, then decision of the meeting shall be circulated to all or any directors and it shall be final only after ratification of decision by a minimum of one Independent Director.
Quorum for the committee meeting
If thanks to resignations or removal of director(s), the number of directors of the company is reduced below the quorum as fixed by the Articles of Association of the company, then, the continuing Directors may act for the aim of increasing the number of Directors thereto required for the quorum or for summoning a general meeting of the corporate . It shall not act for the other purpose.
For the aim of determining the quorum, the participation by a director through Video Conferencing or other audio-visual means shall even be counted.
If at any time the amount of interested directors exceeds or is adequate to two-thirds of the entire strength of the Board of directors, the number of directors who aren't interested and present at the meeting, being not but two shall be the quorum during such time.
The meeting shall be adjourned thanks to want of quorum, unless the articles provide shall be held to an equivalent day at the same time and place within the next week or if the day is national holiday, the next working day at an equivalent time and place.
It can thus be observed that the provisions of the companies Act, 2013 concerning board meetings are made more realistic and in line with the present expectations of the company sector.
PROXIES
(1) Any member of a company entitled to attend and vote at a meeting of the company shall be entitled to appoint another person as a proxy to attend and vote at the meeting on his behalf:
Provided that a proxy shall not have the right to speak at such meeting and shall not be entitled to vote except on a poll:
Provided further that, unless the articles of a company otherwise provide, this subsection shall not apply within the case of a company not having a share capital:
Provided also that the Central Government may prescribe a class or classes of companies whose members shall not be entitled to appoint another person as a proxy:
Provided also that a person appointed as proxy shall act on behalf of such member or number of members not exceeding fifty and such number of shares as could also be prescribed.
(2) In every notice calling a gathering of a company which features a share capital, or the articles of which give for voting by proxy at the meeting, there shall appear with reasonable prominence a statement that a member entitled to attend and vote is entitled to appoint a proxy, or, where that's allowed, one or more proxies, to attend and vote rather than himself, which a proxy needn't be a member.
(3) If default is formed in complying with sub-section (2), every officer of the company who is in default shall be punishable with fine which can reach five thousand rupees.
(4) Any provision contained within the articles of a company which specifies or requires an extended period than forty-eight hours before a gathering of the company, for depositing with the company or the other person any instrument appointing a proxy or the other document necessary to point out the validity or otherwise concerning the appointment of a proxy so as that the appointment could also be effective at such meeting, shall have effect as if a period of forty-eight hours had been laid out in or required by such provision for such deposit.
(5) If for the aim of any meeting of a company, invitations to appoint as proxy a person or one among variety of persons laid out in the invitations are issued at the company‘s expense to any member entitled to possess a notice of the meeting sent to him and to vote thereat by proxy, every officer of the company who knowingly issues the invitations as aforesaid or willfullyauthorizes or permits their issue shall be punishable with fine which can reach one lakh rupees:
Provided that an officer shall not be punishable under this sub-section by reason only of the issue to a member at his request in writing of a sort of appointment naming the proxy, or of a list of persons willing to act as proxies, if the shape or list is out there for the asking in writing to each member entitled to vote at the meeting by proxy.
(6) The instrument appointing a proxy shall—
(a) be in writing; and
(b) be signed by the appointer or his attorney duly authorized in writing or, if the appointer may be a body corporate, be under its seal or be signed by an officer or an attorney duly authorized by it.
(7) An instrument appointing a proxy, if within the form as could also be prescribed, shall not be questioned on the ground that it fails to suits any special requirements specified for such instrument by the articles of a company.
(8) Every member entitled to vote at a meeting of the company, or on any resolution to be moved thereat, shall be entitled during the period beginning day before the time fixed for the commencement of the meeting and ending with the conclusion of the meeting, to inspect the proxies lodged, at any time during the business hours of the company, provided not but three days ‘notice in writing of the intention so to inspect is given to the company.
VOTING
Restriction on voting rights
(1) Notwithstanding anything contained during this Act, the articles of a company may provide that no member shall exercise any voting right in respect of any shares registered in his name on which any calls or other sums presently payable by him haven't been paid, or in reference to which the company has exercised any right of lien.
(2) a corporation shall not, except on the grounds laid out in sub-section (1), prohibit any member from exercising his right on the other ground.
(3) On a poll taken at a gathering of a company, a member entitled to quite one vote, or his proxy, where allowed, or other person entitled to vote for him, because the case could also be , need not, if he votes, use all his votes or cast within the same way all the votes he uses.
Voting by show of hands
(1) At any general meeting, a resolution put to the vote of the meeting shall, unless a poll is demanded under section 109 or the voting is carried out electronically, be selected a show of hands.
(2) A declaration by the Chairman of the meeting of the passing of a resolution or otherwise by show of hands under sub-section (1) and an entry thereto effect within the books containing the minutes of the meeting of the company shall be conclusive evidence of the very fact of passing of such resolution or otherwise.
Voting through electronic means
The Central Government may prescribe the class or classes of companies and manner during which a member may exercise his right to vote by the electronic means.
Demand for poll
(1) Before or on the declaration of the results of the voting on any resolution on show of hands, a poll could also be ordered to be taken by the Chairman of the meeting on his own motion, and shall be ordered to be taken by him on a demand made therein behalf,—
(a) Within the case a company having a share capital, by the members present in person or by proxy,
Where allowed, and having not but one-tenth of the total voting power or holding shares on which an aggregate sum of not but five lakh rupees or such higher amount as could also be prescribed has been paid-up; and
(b) In the case of the other company, by any member or members present in person or by proxy, where allowed, and having not but one-tenth of the total voting power.
(2) The demand for a poll could also be withdrawn at any time by the persons who made the demand.
(3) A poll demanded for adjournment of the meeting or appointment of Chairman of the meeting shall be taken forthwith.
(4) A poll demanded on any question other than adjournment of the meeting or appointment of Chairman shall be taken at such time, not being later than forty-eight hours from the time when the demand was made, as the Chairman of the meeting may direct.
(5) Where a poll is to be taken, the Chairman of the meeting shall appoint such number of persons, as he deems necessary, to scrutinize the poll process and votes given on the poll and to report thereon to him within the manner as could also be prescribed.
(6) Subject to the provisions of this section, the Chairman of the meeting shall have power to regulate the way during which the poll shall be taken.
(7) The results of the poll shall be deemed to be the decision of the meeting on the resolution on which the poll was taken.
Procedure for minutes
Minutes of proceedings of general meeting, meeting of Board of Directors and other meeting and resolutions gone by postal ballot.—
(1) Every company shall cause minutes of the proceedings of each general meeting of any class of shareholders or creditors, and each resolution passed by postal ballot and each meeting of its Board of Directors or of each committee of the Board, to be prepared and signed in such manner as could also be prescribed and kept within thirty days of the conclusion of every such meeting concerned, or passing of resolution by postal ballot in books kept for that purpose with their pages consecutively numbered.
(2) The minutes of every meeting shall contain a fair and correct summary of the proceedings thereat.
(3) All appointments made at any of the meetings aforesaid shall be included within the minutes of the meeting.
(4) Within the case of a meeting of the Board of Directors or of a committee of the Board, the minutes shall also contain—
(a) The names of the directors’ present at the meeting; and
(b) Within the case of every resolution passed at the meeting, the names of the directors, if any, dissenting from, or not concurring with the resolution.
(5) There shall not be included within the minutes, any matter which, within the opinion of the Chairman of the meeting,—
(a) is or could reasonably be considered defamatory of any person; or
(b) is irrelevant or immaterial to the proceedings; or
(c) is detrimental to the interests of the company.
(6) The Chairman shall exercise absolute discretion in reference to the inclusion or non-inclusion of any matter within the minutes on the grounds laid out in sub-section (5).
(7) The minutes kept in accordance with the provisions of this section shall be evidence of the proceedings recorded therein.
(8) Where the minutes are kept in accordance with sub-section (1) then, until the contrary is proved, the meeting shall be deemed to possess been duly called and held, and every one proceedings thereat to have duly taken place, and therefore the resolutions gone by postal ballot to have been duly passed and in particular, all appointments of directors, key managerial personnel, auditors or company secretary in practice, shall be deemed to be valid.
(9) No document purporting to be a report of the proceedings of any general meeting of a company shall be circulated or advertised at the expense of the company, unless it includes the matters required by this section to be contained within the minutes of the proceedings of such meeting.
(10) Every company shall observe secretarial standards with reference to general and Board meetings specified by the Institute of Company Secretaries of India constituted under section 3 of the company Secretaries Act, 1980 (56 of 1980), and approved as such by the Central Government.
(11) If any default is formed in complying with the provisions of this section in respect of any meeting, the company shall be liable to a penalty of twenty-five thousand rupees and each officer of the company who is in default shall be liable to a penalty of 5 thousand rupees.
(12) If a person is found guilty of tampering with the minutes of the proceedings of meeting, he shall be punishable with imprisonment for a term which can reach two years and with fine which shall not be but twenty-five thousand rupees but which can reach one lakh rupees.
Filing resolution
(1) a copy of each resolution or any agreement, in respect of matters laid out in sub-section (3) alongside the explanatory statement under section 102, if any, annexed to the notice calling the meeting during which the resolution is proposed, shall be filed with the Registrar within thirty days of the passing or making thereof in such manner and with such fees as could also be prescribed within the time specified under section 403:
Provided that the copy of each resolution which has the effect of altering the articles and the copy of each agreement referred to in sub-section (3) shall be embodied in or annexed to each copy of the articles issued after passing of the resolution or making of the agreement.
(2) If a company fails to file the resolution or the agreement under sub-section (1) before the expiry of the period specified under section 403 with additional fees, the company shall be punishable with fine which shall not be but five lakh rupees but which can reach twenty-five lakh rupees and each officer of the company who is in default, including liquidator of the company, if any, shall be punishable with fine which shall not be but one lakh rupees but which can reach five lakh rupees.
(3) The provisions of this section shall apply to—
(a) Special resolutions;
(b) resolutions which are agreed to by all the members of a company, but which, if not so agreed to, would not are effective for their purpose unless they had been passed as special resolutions;
(c) any resolution of the Board of Directors of a company or agreement executed by a company, relating to the appointment, re-appointment or renewal of the appointment, or variation of the terms of appointment, of a managing director;
(d) resolutions or agreements which are agreed to by any class of members but which, if not so agreed to, wouldn't are effective for their purpose unless that they had been gone by a specified majority or otherwise in some particular manner; and every one resolutions or agreements which effectively bind such class of members though not agreed to by all those members;
(e) Resolutions gone by a company according consent to the exercise by its Board of Directors of any of the powers under clause (a) and clause (c) of sub-section (1) of section 180;
(f) Resolutions requiring a company to be wound up voluntarily passed in pursuance of section 304;
(g) Resolutions passed in pursuance of sub-section (3) of section 179:
[Provided that no person shall be entitled under section 399 to inspect or obtain copies of such resolutions; and]
(h) The other resolution or agreement as may be prescribed and placed within the public domain.
The shareholders’ meeting is that the body that passes resolutions for joint-stock companies. The shareholders’ meeting has such important tasks as approving the financial statements and therefore the appointment of the board of directors. Basically, the shareholders’ meeting represents ownership claims, i.e. the company’s shareholders.
THE VARIOUS TYPES/ KINDS SHAREHOLDERS’ MEETINGS
There are three types of shareholders’ meetings: the ordinary shareholders’ meeting, the extraordinary shareholders’ meeting, and the special shareholders’ meeting. This distinction isn't based on a different shareholders’ meeting composition, which always consists of the company’s shareholders or their representatives, but on the issues on which the shareholders pass resolutions.
1. The ordinary shareholders’ meeting approves the financial statements and appoints the directors, the statutory auditors, and the chairman of the board of statutory auditors. This shareholders’ meeting also decides on compensation for these office holders (when not set within the bylaws) and examines other issues attributed thereto as per the bylaws or upon the proposal of the directors. The standard shareholders’ meeting must be called a minimum of once a year, within four months of the top of the company’s financial year.
2. The extraordinary shareholders’ meeting decides on changes to the memorandum of association, the issuance of bonds, and the appointment and powers of liquidators.
3. The special shareholders’ meeting is called to pass resolutions on cases where the shareholders’ resolutions affect classes of shares with voting-rights restrictions (such as savings shares).
CALLING AND VALIDITY OF SHAREHOLDERS’ MEETINGS
The directors call the shareholders’ meeting with a notice that lists the things on the agenda, also because the time, date, and place for the meeting. The Gazette Official publishes the notice a minimum of 15 days before the meeting. Listed companies also publish a press release for a call to meeting on their internet sites.
An ordinary shareholders’ meeting is valid if shareholders or delegates representing a minimum of half the share capital meet (shares with restricted voting rights aren't counted). The resolutions of a standard or extraordinary shareholders’ meeting are gone by majority.
ANNUAL GENERAL MEETINGS (AGM) SECTION 96 TO 99
Annual general meeting
(1) Every company aside from a 1 Person Company shall in each year hold in addition to the other meetings, a general meeting as its annual general meeting and shall specify the meeting as such within the notices calling it, and less than fifteen months shall elapse between the date of 1 annual general meeting of a company which of the next:
Provided that just in case of the first annual general meeting, it shall be held within a period of nine months from the date of closing of the first financial year of the company and in the other case, within a period of six months, from the date of closing of the financial year:
Provided further that if a company holds its first annual general meeting as aforesaid, it shall not be necessary for the company to carry any annual general meeting within the year of its incorporation:
Provided also that the Registrar may, for any special reason, extend the time within which any annual general meeting, aside from the first annual general meeting, shall be held, by a period not exceeding three months.
(2) Every annual general meeting shall be called during business hours, that is, between 9 a.m. And 6 p.m. On any day that's not a national holiday and shall be held either at the registered office of the company or at another place within the town, town or village in which the registered office of the company is situates:
Provided that the Central Government may exempt any company from the provisions of this subsection subject to such conditions because it may impose.
Explanation.—for the needs of this sub-section, ―National Holiday‖ means and includes each day declared as national holiday by the Central Government.
Power of Tribunal to call annual general meeting
(1) If any default is formed in holding the annual general meeting of a company under section 96, the Tribunal may, notwithstanding anything contained during this Act or the articles of the company, on the application of any member of the company, call, or direct the calling of, an annual general meeting of the company and provides such ancillary or consequential directions because the Tribunal thinks expedient:
Provided that such directions may include a direction that one member of the company present in person or by proxy shall be deemed to constitute a meeting.
(2) A general meeting held in pursuance of sub-section (1) shall, subject to any directions of the Tribunal, be deemed to be an annual general meeting of the company under this Act.
Power of Tribunal to call meetings of members, etc.
(1) If for any reason it's impracticable
To call a meeting of a company, aside from an annual general meeting, in any manner during which meetings of the company could also be called, or to carry or conduct the meeting of the company within the manner prescribed by this Act or the articles of the company, the Tribunal may, either suo motu or on the application of any director or member of the corporate who would be entitled to vote at the meeting,—
(a) order a gathering of the corporate to be called, held and conducted in such manner because the Tribunal thinks fit; and
(b) give such ancillary or consequential directions because the Tribunal thinks expedient, including directions modifying or supplementing in relation to the calling, holding and conducting of the meeting, the operation of the provisions of this Act or articles of the company:
Provided that such directions may include a direction that one member of the company present in person or by proxy shall be deemed to constitute a meeting.
(2) Any meeting called, held and conducted in accordance with any order made under sub-section (1) shall, for all purposes, be deemed to be a meeting of the company duly called, held and conducted.
Punishment for default in complying with provisions of sections 96 to 98
If any default is formed in holding a meeting of the company in accordance with section 96 or section 97 or section 98 or in complying with any directions of the Tribunal, the company and each officer of the company who is in default shall be punishable with fine which can reach one lakh rupees and within the case of a unbroken default, with a further fine which can reach five thousand rupees for each day during which such default continues.
When the necessary percentage (quorum) in terms of share capital isn't reached, the shareholders’ meeting’s decisions aren't valid and a second or third call is necessary.
The ordinary shareholders’ meeting on second call passes resolutions on issues that should is dealt with on first call, but this point no matter the share of share capital represented by the shareholders present. For the resolutions of the extraordinary shareholders’ meeting on second call to be valid, they need to be voted by quite one third of share capital.
On third call, the votes of shareholders representing quite one-fifth of share capital are enough. The shareholders’ meeting mainly operates on the idea of articles 2363 and following of the Italian Civil Code. The bylaws of any company may contain more rigid or specific regulations than what's contained within the code.
B. EXTRAORDINARY GENERAL MEETINGS (EOGM) SECTION 100
(1) The Board may, whenever it deems fit, call an extraordinary general meeting of the company.
(2) The Board shall, at the requisition made by,-
(a) within the case of a company having a share capital, such number of members who hold, on the date of the receipt of the requisition, not but one-tenth of such of the paid-up share capital of the company as thereon date carries the right of voting;
(b) within the case of a company not having a share capital, such number of members who have, on the date of receipt of the requisition, not but one-tenth of the total voting power of all the members having on the said date a right to vote, call an extraordinary general meeting of the company within the amount laid out in sub-section (4).
(3) The requisition made under sub-section (2) shall began the matters for the consideration of which the meeting is to be called and shall be signed by the requisitionists and sent to the registered office of the company.
(4) If the Board doesn’t, within twenty-one days from the date of receipt of a valid requisition in reference to any matter, proceed to call a meeting for the consideration of that matter on each day not later than forty-five days from the date of receipt of such requisition, the meeting may be called and held by the requisitionists themselves within a period of three months from the date of the requisition.
(5) A meeting under sub-section (4) by the requisitionists shall be called and held within the same manner during which the meeting is named and held by the Board.
(6) Any reasonable expenses incurred by the requisitionists in calling a meeting under sub-section (4) shall be reimbursed to the requisitionists by the company and therefore the sums so paid shall be deducted from any fee or other remuneration under section 197 payable to such of the directors who were in default in calling the meeting.
101. Notice of meeting
(1) A general meeting of a company could also be called by giving not but clear twenty-one days ‘notice either in writing or through electronic mode in such manner as could also be prescribed:
Provided that a general meeting could also be called after giving a shorter notice if consent is given in writing or by electronic mode by not but ninety-five per cent. Of the members entitled to vote at such meeting.
(2) Every notice of a meeting shall specify the place, date, day and the hour of the meeting and shall contain a statement of the business to be transacted at such meeting.
(3) The notice of each meeting of the company shall tend to—
(a) Every member of the company, legal representative of any deceased member or the assignee of an insolvent member;
(b) The auditor or auditors of the company; and
(c) Every director of the company.
(4) Any accidental omission to give notice to, or the non-receipt of such notice by, any member or other person who is entitled to such notice for any meeting shall not invalidate the proceedings of the meeting.
102. Statement to be annexed to note
(1) a statement setting out the following material facts concerning each item of special business to be transacted at a general meeting, shall be annexed to the notice calling such meeting, namely:—
(a) The nature of concern or interest, financial or otherwise, if any, in respect of every items of—
(i) Every director and therefore the manager, if any;
(ii) Every other key managerial personnel; and
(iii) Relatives of the persons mentioned in sub-clauses (i) and (ii);
(b) The other information and facts which will enable members to know the meaning, scope and implications of the items of business and to require decision thereon.
(2) For the needs of sub-section (1),—
(a) Within the case of an annual general meeting, all business to be transacted thereat shall be deemed special, other than—
(i) The consideration of financial statements and the reports of the Board of Directors and auditors;
(ii) The declaration of any dividend;
(iii) The appointment of directors in situ of these retiring;
(iv) The appointment of, and therefore the fixing of the remuneration of, the auditors; and
(b) Within the case of the other meeting, all business shall be deemed to be special:
Provided that where any item of special business to be transacted at a meeting of the company relates to or affects the other company, the extent of shareholding interest therein other company of each promoter, director, manager, if any, and of each other key managerial personnel of the first mentioned company shall, if the extent of such shareholding isn't but two per cent. Of the paid-up share capital of that company, even be began within the statement.
(3) Where any item of business refers to any document, which is to be considered at the meeting, the time and place where such document are often inspected shall be specified in the statement under sub section (1).
(4) Where as a result of the non-disclosure or insufficient disclosure in any statement mentioned in sub-section (1), being made by a promoter, director, manager, if any, or other key managerial personnel, any benefit which accrues to such promoter, director, manager or other key managerial personnel or their relatives, either directly or indirectly, the promoter, director, manager or other key managerial personnel, because the case could also be , shall hold such benefit in trust for the company, and shall, without prejudice to the other action being taken against him under this Act or under any other law for the time being in force, be liable to compensate the company to the extent of the benefit received by him.
(5) If any default is made in complying with the provisions of this section, every promoter, director, manager or other key managerial personnel who is in default shall be punishable with fine which can reach fifty thousand rupees or five times the amount of benefit accruing to the promoter, director, manager or other key managerial personnel or any of his relatives, whichever is more.
103. Quorum for meetings
(1) Unless the articles of the company provide for a larger number,—
(a) In case of a public company,—
(i) Five members personally present if the number of members as on the date of meeting isn't more than one thousand;
(ii) Fifteen members personally present if the number of members as on the date of meeting is quite one thousand but up to 5 thousand;
(iii) Thirty members personally present if the number of members as on the date of the meeting exceeds five thousand;
(b) In the case of a private company, two members personally present, shall be the quorum for a meeting of the company.
(2) If the quorum isn't present within half-an-hour from the time appointed for holding a meeting of the company—
(a) the meeting shall stand adjourned to the same day within the next week at an equivalent time and place, or to such other date and such other time and place because the Board may determine; or
(b) the meeting, if called by requisitionists under section 100, shall stand cancelled:
Provided that just in case of an adjourned meeting or of a change of day, time or place of meeting under clause (a), the company shall give not but three days’ notice to the members either individually or by publishing an advertisement within the newspapers (one in English and one in vernacular language) which is in circulation at the place where the registered office of the company is situated.
(3) If at the adjourned meeting also, a quorum isn't present within half-an-hour from the time appointed for holding meeting, the members present shall be the quorum.
104. Chairman of meetings
(1) Unless the articles of the company otherwise provide, the members personally present at the meeting shall elect one of themselves to be the Chairman thereof on a show of hands.
(2) If a poll is demanded on the election of the Chairman, it shall be taken forthwith in accordance with the provisions of this Act and therefore the Chairman elected on a show of hands under sub-section (1) shall still be the Chairman of the meeting until some other person is elected as Chairman as a results of the poll, and such other person shall be the Chairman for the rest of the meeting.
105. Proxies.—
(1) Any member of a company entitled to attend and vote at a meeting of the company shall be entitled to appoint another person as a proxy to attend and vote at the meeting on his behalf:
Provided that a proxy shall not have the right to speak at such meeting and shall not be entitled to vote except on a poll:
Provided further that, unless the articles of a company otherwise provide, this subsection shall not apply within the case of a company not having a share capital:
Provided also that the Central Government may prescribe a class or classes of companies whose members shall not be entitled to appoint another person as a proxy:
Provided also that a person appointed as proxy shall act on behalf of such member or number of members not exceeding fifty and such number of shares as could also be prescribed.
(2) In every notice calling a meeting of a corporation which features a share capital, or the articles of which give for voting by proxy at the meeting, there shall appear with reasonable prominence a statement that a member entitled to attend and vote is entitled to appoint a proxy, or, where that's allowed, one or more proxies, to attend and vote rather than himself, which a proxy needn't be a member.
(3) If default is formed in complying with sub-section (2), every officer of the company who is in default shall be punishable with fine which can reach five thousand rupees.
(4) Any provision contained within the articles of a company which specifies or requires a longer period than forty-eight hours before a meeting of the company, for depositing with the company or the other person any instrument appointing a proxy or any other document necessary to point out the validity or otherwise concerning the appointment of a proxy so as that the appointment could also be effective at such meeting, shall have effect as if a period of forty-eight hours had been laid out in or required by such provision for such deposit.
(5) If for the aim of any meeting of a company, invitations to appoint as proxy a person or one of a number of persons specified in the invitations are issued at the company‘s expense to any member entitled to have a notice of the meeting sent to him and to vote thereat by proxy, every officer of the company who knowingly issues the invitations as aforesaid or willfullyauthorizes or permits their issue shall be punishable with fine which can reach one lakh rupees:
Provided that an officer shall not be punishable under this sub-section by reason only of the issue to a member at his request in writing of a sort of appointment naming the proxy, or of a list of persons willing to act as proxies, if the form or list is available on request in writing to each member entitled to vote at the meeting by proxy.
(6) The instrument appointing a proxy shall—
(a) Be in writing; and
(b) Be signed by the appointer or his attorney duly authorized in writing or, if the appointer is a body corporate, be under its seal or be signed by an officer or an attorney duly authorized by it.
(7) An instrument appointing a proxy, if within the form as could also be prescribed, shall not be questioned on the bottom that it fails to suits any special requirements specified for such instrument by the articles of a company.
(8) Every member entitled to vote at a meeting of the company, or on any resolution to be moved thereat, shall be entitled during the amount beginning day before the time fixed for the commencement of the meeting and ending with the conclusion of the meeting, to examine the proxies lodged, at any time during the business hours of the company, provided not but three days‘ notice in writing of the intention so to examine is given to the company.
106. Restriction on voting rights.
(1) Notwithstanding anything contained during this Act, the articles of a company may provide that no member shall exercise any right in respect of any shares registered in his name on which any calls or other sums presently payable by him haven't been paid, or in reference to which the company has exercised any right of lien.
(2) a company shall not, except on the grounds laid out in sub-section (1), prohibit any member from exercising his right on the other ground.
(3) On a poll taken at a meeting of a company, a member entitled to quite one vote, or his proxy, where allowed, or other person entitled to vote for him, because the case could also be , need not, if he votes, use all his votes or cast within the same way all the votes he uses.
107. Voting by show of hands
(1) At any general meeting, a resolution put to the vote of the meeting shall, unless a poll is demanded under section 109 or the voting is carried out electronically, be decided on a show of hands.
(2) A declaration by the Chairman of the meeting of the passing of a resolution or otherwise by show of hands under sub-section (1) and an entry thereto effect within the books containing the minutes of the meeting of the company shall be conclusive evidence of the very fact of passing of such resolution or otherwise.
108. Voting through electronic means
The Central Government may prescribe the class or classes of companies and manner during which a member may exercise his right to vote by the electronic means.
109. Demand for poll
(1) Before or on the declaration of the results of the voting on any resolution on show of hands, a poll could also be ordered to be taken by the Chairman of the meeting on his own motion, and shall be ordered to be taken by him on a requirement made therein behalf,—
(a) in the case a company having a share capital, by the members present in person or by proxy, where allowed, and having not but one-tenth of the total voting power or holding shares on which an aggregate sum of not but five lakh rupees or such higher amount as could also be prescribed has been paid-up; and
(b) within the case of any other company, by any member or members present in person or by proxy, where allowed, and having not but one-tenth of the total voting power.
(2) The demand for a poll could also be withdrawn at any time by the persons who made the demand.
(3) A poll demanded for adjournment of the meeting or appointment of Chairman of the meeting shall be taken forthwith.
(4) A poll demanded on any question other than adjournment of the meeting or appointment of Chairman shall be taken at such time, not being later than forty-eight hours from the time when the demand was made, as the Chairman of the meeting may direct.
(5) Where a poll is to be taken, the Chairman of the meeting shall appoint such number of persons, as he deems necessary, to scrutinize the poll process and votes given on the poll and to report thereon to him within the manner as may be prescribed.
(6) Subject to the provisions of this section, the Chairman of the meeting shall have power to manage the way during which the poll shall be taken.
(7) The result of the poll shall be deemed to be the choice of the meeting on the resolution on which the poll was taken.
110. Postal ballot
(1) Notwithstanding anything contained in this Act, a company—
(a) shall, in respect of such items of business as the Central Government may, by notification, declare to be transacted only by means of postal ballot; and
(b) may, in respect of any item of business, other than ordinary business and any business in respect of which directors or auditors have a right to be heard at any meeting, transact by means of postal ballot, in such manner as could also be prescribed, rather than transacting such business at a general meeting.
(2) If a resolution is assented to by the requisite majority of the shareholders by means of postal ballot, it shall be deemed to have been duly passed at a general meeting convened therein behalf.
111. Circulation of members ‘resolution
(1) A company shall, on requisition in writing of such number of members, as needed in section 100,—
(a) Give notice to members of any resolution which can properly be moved and is meant to be moved at a meeting; and
(b) Circulate to members any statement with respect to the matters referred to in proposed resolution or business to be dealt with at that meeting.
(2) A company shall not be bound under this section to offer notice of any resolution or to circulate any statement unless—
(a) A copy of the requisition signed by the requisitionists (or two or more copies which, between them, contain the signatures of all the requisitionists) is deposited at the registered office of the company,—
(i) In the case of a requisition requiring notice of a resolution, not but six weeks before the meeting;
(ii) In the case of the other requisition, not but two weeks before the meeting; and
(b) there's deposited or tendered with the requisition, a sum reasonably sufficient to meet the company‘s expenses in giving effect thereto:
Provided that if, after a copy of a requisition requiring notice of a resolution has been deposited at the registered office of the company, an annual general meeting is named on a date within six weeks after the copy has been deposited, the copy, although not deposited within the time required by this sub-section, shall be deemed to have been properly deposited for the purposes thereof.
(3) The company shall not be sure to circulate any statement as required by clause (b) of subsection (1), if on the application either of the company or of any other one that claims to be aggrieved, the Central Government, by order, declares that the rights conferred by this section are being abused to secure needless publicity for defamatory matter.
(4) An order made under sub-section (3) can also direct that the value incurred by the company by virtue of this section shall be paid to the company by the requisitionists, notwithstanding that they're not parties to the application.
(5) If any default is formed in complying with the provisions of this section, the company and each officer of the company who is in default shall be liable to a penalty of twenty-five thousand rupees.
112. Representation of President and Governors in meetings.
(1) The President of India or the Governor of a State, if he's a member of a company, may appoint such person as he thinks fit act as his representative at any meeting of the company or at any meeting of any class of members of the company.
(2) an individual appointed to act under sub-section (1) shall, for the needs of this Act, be deemed to be a member of such a corporation and shall be entitled to exercise the same rights and powers, including the proper to vote by proxy and postal ballot, as the President or, as the case may be, the Governor could exercise as a member of the corporate
113. Representation of corporations at meeting of companies and of creditors
(1) A body corporate, whether a company within the meaning of this Act or not, may, —
(a) if it's a member of a company within the meaning of this Act, by resolution of its Board of Directors or other governing body, authorize such person as it thinks fit act as its representative at any meeting of the company, or at any meeting of any class of members of the company;
(b) if it's a creditor, including a holder of debentures, of a company within the meaning of this Act, by resolution of its directors or other governing body, authorize such person because it thinks fit act as its representative at any meeting of any creditors of the company held in pursuance of this Act or of any rules made thereunder, or in pursuance of the provisions contained in any debenture or deed of trust, because the case could also be .
(2) a person authorized by resolution under sub-section (1) shall be entitled to exercise the same rights and powers, including the proper to vote by proxy and by postal ballot, on behalf of the body corporate which he represents as that body could exercise if it were an individual member, creditor or holder of debentures of the company.
114. Ordinary and special resolutions
(1) A resolution shall be an ordinary resolution if the notice required under this Act has been duly given and it's required to be gone by the votes cast, whether on a show of hands, or electronically or on a poll, because the case could also be , in favor of the resolution, including the vote , if any, of the Chairman, by members who, being entitled so to try to , choose person, or where proxies are allowed, by proxy or by postal ballot, exceed the votes, if any, cast against the resolution by members, so entitled and voting.
(2) A resolution shall be a special resolution when—
(a) the intention to propose the resolution as a special resolution has been duly laid out in the notice calling the overall meeting or other intimation given to the members of the resolution;
(b) the notice required under this Act has been duly given; and
(c) the votes cast in favor of the resolution, whether on a show of hands, or electronically or on a poll, as the case may be, by members who, being entitled so to try to , vote in person or by proxy or by postal ballot, are required to be not but 3 times the number of the votes, if any, cast against the resolution by members so entitled and voting.

TRANSFER OF SECURITIES

WHICH LAW STATES ABOUT THE TRANSFER OF SHARES?
According to Section 56 of the companies Act, 2013[1], securities are movable property and are transferred during a manner provides by the articles mentioned within the AOA of the company. A Shareholder is free to transfer shares to a person of his own choice, whereas shares during a Private limited company aren't freely transferable.
PROCEDURE FOR TRANSFER OF SHARES
1. At first, the deeds which are transferred got to be obtained within the prescribed form i.e., SH-4.

13. An equivalent value stamp is affixed on the written application if the signed transfer deed has lost. Here, the Board may register the transfer on the grounds of indemnity.
14. In case the shares of the company are listed during a recognized stock exchange, then the corporate cannot charge any fee for the registration of transfer of shares and debentures.
TIME LIMITS
There are certain time limits under which transfer and transmission of securities takes place.
A company shall not register the transfer of securities of the company aside from the beneficial owners without a proper instrument of transfer. The time prescribed is 60 days from the date of execution.
Application by the transferor: The transfer shall not be registered until the company gives notice of the application to the transferor. Here, the transferee gives NOC (No Objection Certificate) within two weeks from the receipt of the notice.
The Company has to deliver certificates of all securities allotted, transferred and transmitted within the following cases within the following mentioned time limits:

PENALTIES
There is a minimum many Rs. 25000 and a maximum of Rs. 5 lakhs just in case of a company. And For an officer the minimum amount is Rs. 10000 and maximum of Rs. 1 lakh.
TRANSMISSION OF SECURITIES
Transmission of Securities is sort of different from the Transfer of Securities, but many folks think these two terms because the same. Here, the shares are transferred to the deceased and therefore the official assignee of the insolvent. Transmission of shares is an automatic process when the shareholder dies and immediately passes to the private representative or if a member is said bankrupt.

3. After the documents are submitted, the company reviews these documents and approve the transmission request in case the documents are so as .
4. In case the documents submitted with the transmission request aren't so as , the company shall communicate refusal to the concerned person within 30 days.
5. Before the death of the shareholder, the dividend declared will be payable to the legal representative, and just in case after the death of the shareholder, the dividend will be paid to him only after the registration of his/her name.

Transfer and transmission of Securities are two different things that are often confused by the non-technical people. These are the ordinary course of transferring property, but within the transmission of shares happen just in case the member of the company isn't alive or has become insolvent. Moreover, the transfer of shares is more common than the transmission of shares.
INTRODUCTION
The Companies Act, 2013 allows a shareholder to form nomination with reference to shares held by him during a company. A nomination may be a written mandate given by a shareholder to a company describing a specific person, to whom the shares held in the company shall vest within the event of death of the shareholder. The particular person described in the mandate is known because the nominee. Nomination may be a useful procedure that enables a company to pinpoint one legal representative of a deceased shareholder to transmit his shares and also avoids the need to affect a number of legal heirs who could be reeling under inheritance disputes.
In this article, the author deals with general provisions relating to nomination of shares and also, examine the rights of nominees with reference to the shares vested in them.
NOMINATION UNDER THE COMPANIES ACT, 2013
Shares of a corporation are freely transferable assets under law. A shareholder, during his lifetime, is free to transfer shares held by him during a public company subject to reasonable restrictions, if any, imposed under the Articles of Association. Nomination, further, enables a shareholder to supply sufficient directions to a company with regard to disposal or transmission of shares held by him within the event of his death.
Section 72 of the Act provides that each holder of securities of a company may nominate any person to whom his securities shall vest in the event of his death. The term Securities includes shares of a company. If the shares are held by joint holders, such joint holders will need to nominate one person as nominee. The Act does not restrict the choice of persons who may be designated as a nominee. Even a minor are often nominated by the shareholder. If the nominee is minor, the shareholder shall appoint a person to become entitled to the shares within the event of the death of the nominee during his minority.
A nomination is often filed anytime during the lifetime of the shareholder. It’s to be filed in writing to the company within the prescribed form SH-13. A nomination once filed are often cancelled or altered by filing form SH-14. The cancellation or variation shall become from the date on which the notice of such variation or cancellation is received by the company.
TRANSMISSION OF SHARES TO NOMINEE
A company has got to maintain a Register of nominations filed with it and registered by it. The contents of the register need to be eventually updated and duly authenticated by the corporate Secretary or such other person as could also be authorized by the board. On receipt of intimation of death of the shareholder, the corporate secretary has got to ensure from the register that the shareholder has filed a nomination which such nomination is valid.
Once a legitimate nomination has been verified, a nominee may adopt any of the 2 courses specified under Rule 19 of the businesses (Share Capital and Debenture) Rules, 2014. He may either get the shares registered in his own name or transfer the shares to a different person because the deceased shareholder could have performed.
If the nominee opts to be a member of the corporate, he shall inform the corporate in writing about his intention to try to so. Such a notice must be signed and shall be amid the death certificate of the deceased shareholder. Stamp tax wouldn't apply within the case of transmission.
A transfer of shares by the nominee shall become as if the death of the shareholder has not occurred. Such a transfer shall be subject all procedures, restrictions and limitations applicable to transfer of shares by a shareholder, under the Act. The nominee has got to deliver instrument of transfer or transfer deed in writing to the corporate in prescribed form SH-4. The instrument has got to be properly executed and adequately stamped. The transferee acquires proper title to the shares transferred subject to all or any liabilities and restrictions attached thereto. Such an option enables the nominee to dispose the shares without having to travel through the hassles and responsibilities of being registered as a member of the corporate.
RIGHTS OF A NOMINEE
A nominee steps into the shoes of a shareholder after the death of the shareholder. As noted above, he can affect the shares as if the deceased shareholder has mandated the transaction to the company. A nominee shall be entitled to same dividends or interests and other advantages as if he had been the first owner of shares. Also, if he opts to register himself because the holder of shares, he can exercise all membership rights in reference to the meeting as conferred by the Articles of Association.
A company gets good discharge from its obligations concerning the shares once it complies with the written notice or instrument executed by the nominee. However, the ownership rights of the nominee vis-à-vis legal heirs of shares transmitted to a nominee had remained an issue until recently.
Initially, the courts placed the nominees on a superior pedestal than the legal heirs under a validly executed will. The Delhi Supreme Court in Dayagen Pvt. Ltd. v. Rajendra Dorian Punj has held that a nominee is vested with full and exclusive ownership rights in respect of the shares of which he's the nominee, upon the death of the shareholder. In Harsha Nitin Kokate v. Saraswath Co-operative Bank Ltd. The Bombay Supreme Court had held that the intent of the nomination is to vest the property within the shares, which incorporates the ownership rights thereunder, within the nominee upon nomination validly made as per the procedure prescribed under the businesses Act, 1956. During this case, the Court was seized with interpretation of the word ‘vest’ as utilized in Section 109A of the businesses Act, 1956.
Thereafter, another bench of the Bombay Supreme Court in Jayanand Salagaonkar v. Jayasree Jayant Salagaonkar considered the choice in Harsha Kokate case. The Court doubted the merits of the choice and was of the opinion that the choice was per incuriam. The controversy began by the aforesaid decisions were laid to rest by a division bench of the Bombay supreme court in Sakti Yazdani v. Jayanand Salagaonkar. The division bench concluded that Harsha Kokate decision was per incuriam and upheld the choice in Salagaonkar case. The Court held that the only judge had did not consider binding judgments of the Supreme Court concerning nomination under various laws which were pari material to Section 109A.
At present, the legal position holding ground is that a nomination under the businesses Act doesn't create a 3rd mode of succession. A nomination under the Act cannot override a legitimate testamentary succession. A nominee may be a mere trustee for the legal heirs of the deceased shareholder. Nominees have a fiduciary relationship with the legal heirs to safeguard the shares and allied membership rights until the desire of the testator shareholder is executed. Therefore, nomination alone cannot create ownership in shares. It's merely a tool to enable hassle free transmission of shares for the advantage of companies.
